Meedyo Legal Terms & Conditions
Preamble
For the purposes of these Terms and Conditions, the following terms shall have the meanings set forth below:
Meedyo
A software platform designed for professionals, businesses, and agencies to manage social media accounts and run advertising campaigns. Depending on the selected subscription plan, users may access different features and services via the website https://app.meedyo.com/ or through the Meedyo mobile application for iOS and Android devices.
Meedyo, Inc
The company that owns and operates Meedyo, with full corporate details provided in the “Company Information” section of these Terms and Conditions.
Administrator
Any professional or business (e.g., Community Manager, Social Media Manager, advertising agency, digital marketing consultant) who uses Meedyo to manage their own social media accounts or the accounts of third parties, for purposes related to their trade, business, or profession.
Brand
All social media accounts, websites, or blogs that are connected and managed through Meedyo, whether owned by the Administrator or by a third party (individual or legal entity) that has contracted the Administrator to manage their social media presence through Meedyo.
1. Identification of the Parties
The provider of the Meedyo service is Meedyo, Inc. (or the appropriate legal entity operating under the Meedyo brand), with its registered office at [Insert full company address, city, state, country], and corporate/tax identification number [Insert EIN or company registration number]. Hereinafter, referred to as “Meedyo.”
You may contact Meedyo directly at: support@meedyo.com.
By contracting Meedyo’s services, you will assume the role of Administrator for the Brands you manage through the platform (hereinafter, “Administrator”). By accepting these Terms and Conditions, you confirm that you:
- Have read and fully understood these Terms and Conditions.
- Are of legal age and have the legal capacity to be bound by this agreement.
- Are entering into this agreement on your own behalf, or on behalf of a natural person or duly constituted legal entity you represent, for purposes connected with a commercial, business, professional, or trade activity.
Certain services may be governed by additional or specific conditions that will supplement or, where appropriate, prevail over these Terms and Conditions. In the event of a conflict between these Terms and any specific conditions, the latter shall take precedence.
2. Subject of the Agreement
Meedyo’s services are offered under a freemium model: a free basic service is available to all users, while advanced and premium features are available under paid subscription plans.
Details of the services included in each plan (Free, Starter, Advanced, and Custom) are published on https://meedyo.com/pricing/ and may be updated from time to time.
Below is a description of the Meedyo services that you may access, depending on the plan you have subscribed to:
Social Media Profiles Management
Meedyo’s Social Media Profiles service enables Administrators, based on their selected plan, to:
- Manage a specified number of Brands.
- Connect a defined number of Websites and Blogs.
- Connect a set number of Brand social media profiles on supported platforms, including Facebook, Instagram, Threads, X (Twitter), Pinterest, TikTok, YouTube, Twitch, LinkedIn, and Bluesky.
- Note: LinkedIn and X (Twitter) integrations are only available under paid plans, and X accounts require purchase of the X Add-on for each account.
- Connect Google Business profiles to monitor insights and reviews.
- Integrate advertising accounts from Facebook Ads, Google Ads, and TikTok Ads for campaign management.
- Connect to Google Looker Studio (available exclusively on Advanced and Custom plans).
Plan-Specific Access:
- Free Plan: 1 Brand + 1 Website/Blog.
- Starter Plan: Manage 5 or 10 Brands + Websites/Blogs.
- Advanced Plan: Manage 15, 25, or 50 Brands + Websites/Blogs.
- Custom Plan: Manage more than 50 Brands + Websites/Blogs (available via direct sales, not online purchase).
Planner Service
Meedyo’s Planner service allows Administrators to:
- Create and manage a publication calendar for the connected social media profiles.
- Schedule posts, respecting the monthly publication limits set by the selected plan.
Plan Limitations:
- Free Plan: Limited to 50 scheduled posts per month.
- Scheduling on X (Twitter) requires the purchase of the X Add-on per account.
- Plans with “unlimited” posts remain subject to the Fair Use Policy and the posting limitations set by each social network.
Fair Use Policy for Social Media Scheduling
To maintain service quality and prevent abuse, Administrators agree to:
- Avoid posting identical or repetitive content that may be classified as SPAM.
- Refrain from posting content that is unlawful, harmful, defamatory, hateful, racist, xenophobic, or otherwise violates human rights, dignity, or public order.
- Respect advertising regulations relevant to restricted sectors such as gambling, alcohol, or other regulated industries.
Activity Thresholds:
- Meedyo sets a baseline activity threshold of 600 posts per Brand per month.
- If compliant: a custom posting threshold will be set for future months.
- If non-compliant: posting may be suspended for the remainder of the month.If this threshold is exceeded, Meedyo may manually review account activity.
During manual review periods, posting will be temporarily paused until the review is complete.
Additional Planner Features
- YouTube Upload Certification: By uploading videos through Meedyo’s interface, the Administrator certifies compliance with YouTube’s Terms of Service and Community Guidelines.
- Best Times to Post: Recommendations for Instagram, Facebook, TikTok, YouTube, LinkedIn, and X (with the X Add-on).
- Approval Workflows: (Advanced and Custom Plans only) Enables client review and approval of content before publication.
- Autolists: Automate post scheduling using CSV uploads or RSS feed integration (per social network policies).
- Automatic Publishing: Posts scheduled in Meedyo will automatically be published on connected networks where API access allows.
- Content Library: (Paid Plans only) Save posts for later use or create reusable content templates.
- Image & Video Bank: Access to royalty-free images via Pexels for exclusive use in Meedyo publications.
- Image & Video Editor: Integrated editing tool for creative assets.
- Hashtag Finder: (Instagram and TikTok only) Discover relevant hashtags for your content.
- PDF Scheduling for LinkedIn: Schedule and publish documents in PDF format.
- RSS Feed Preview: View scheduled content within a simulated feed layout.
- Post Promotion: (Facebook only) Boost published posts directly from Meedyo.
- AI Social Media Assistant: AI-powered content suggestions and generation, limited by monthly credit allocation per Brand (1 credit ≈ 600 words including prompts and outputs).
- Google Drive Integration: Connect and access files stored on Google Drive (paid plans only).
- Canva Integration: Access and use Canva designs directly from Meedyo (paid plans only).
Analytics Service
Meedyo’s Analytics Service provides Administrators with comprehensive performance insights for the Brands they manage. Depending on the contracted plan, this service includes:
- Metrics Storage:
Historical storage of Brand metrics for a defined period based on your plan. When a new social account is connected to Meedyo, metrics for the previous two months are retrieved where available. Exceptions include follower counts for X (Twitter), TikTok, Instagram, YouTube subscribers, and Instagram Stories, which are tracked from the time of connection. - Reels & Stories Analytics:
Available exclusively for Instagram and Facebook accounts. - Competitor Analysis:
- Facebook, Instagram, and Twitch competitor tracking, with the number of competitors limited by the contracted plan.
- YouTube competitor analysis available only under paid plans.
- X competitor analysis requires the purchase of the X Add-on and provides access to basic profile data (followers, following, tweet counts, and follower growth trends).
- X (Twitter) Analytics:
Paid plans with the X Add-on can access X analytics.- Reduced functionality (Starter Plan) excludes features such as best posting hours, tweet graphs, interaction breakdown, tweet type insights, competitor tweets, and detailed competitor analytics.
- Full functionality is available under Advanced or Custom plans.
- Number of active visitors
- Pages/URLs being visited
- 30-minute traffic evolution
- Geographic origin of visitors
- Real-time and daily traffic sources
Real-Time Web/Blog Analytics:
Provides live insights for connected websites or blogs, including:
- Instagram Hashtag Analysis:
Insights into hashtags used by the Administrator in Instagram posts, enabling better optimization of reach and engagement.
Reports Service
Available exclusively on paid plans, the Meedyo Reports Service offers:
- Automated Report Generation:
Consolidated analytics across all managed Brands, including Facebook Ads and Google Ads performance data (where applicable). - CSV Downloads:
Export reports in CSV format for offline analysis. - Custom Templates:
Create fully customizable report templates (Advanced and Custom Plans only). - Looker Studio Connector:
Build advanced, data-rich reports using Google Looker Studio (Advanced and Custom Plans only).
Inbox & Message Management
Meedyo’s Inbox Service enables Administrators to moderate and manage interactions across multiple platforms, including:
- Private Messages:
Manage DMs from X (requires X Add-on), Facebook Messenger, and Instagram Direct. - Comments:
Moderate comments on Facebook and Instagram posts, YouTube videos, and TikTok content. - LinkedIn Moderation:
Available for Starter, Advanced, and Custom Plans, allowing moderation of posts and comments on official LinkedIn pages.
SmartLinks Service
Available only for paid plans, SmartLinks allows Administrators to:
- Create a customizable mini landing page containing multiple outbound links.
- Personalize design with six premium themes, featured images, icons, and buttons.
- Access detailed analytics on link clicks and visitor interactions.
Team & Integrations Service
Meedyo’s Team and Integration features (plan-dependent) provide:
- API Access:
Available for Advanced and Custom plans, allowing Administrators to integrate Meedyo’s features into their own systems (excluding White Label capabilities). - Team Management:
Invite third parties (clients, content creators, editors, analysts) to collaborate on Brand management with role-based permissions, which can be customized through the User Management panel.- The account owner (Administrator) retains exclusive access to account settings.
- Administrators are responsible for ensuring that invited team members use the platform in compliance with these Terms and Conditions.
- Invitations are sent via email, and invited users must create a free Meedyo account and accept these Terms to gain access.
- White Label Functionality:
Available only on Custom plans, allowing Administrators to embed Meedyo’s features into their own platforms while removing Meedyo branding.- Note: When connecting Brand social media accounts, each network will still display authorization prompts granting Meedyo the necessary permissions (manage ads, access analytics, manage content, handle DMs, etc.) to provide the contracted service.
- Canva Integration:
Directly connect Canva to Meedyo for seamless design creation and content scheduling (available on paid plans). - Zapier Integration:
Available on Advanced and Custom plans, enabling automated workflows between Meedyo and other web applications.
X Add-on
To connect an X (Twitter) account in Meedyo, the Administrator must purchase an X Add-on for each account to be connected.
- X Add-ons are available only to users with a paid plan.
- The number of X Add-ons must match the number of X accounts being connected, up to the maximum number of Brands permitted under the plan.
Hashtag Tracker Service
The Hashtag Tracker is a separate, add-on service and is not included in any Meedyo plan by default.
- Instagram Hashtag Tracker: Available for Administrators subscribed to any Meedyo plan.
- X Hashtag Tracker: Available only for paid plans with an active X Add-on.
The service is billed at a daily rate for each monitoring session.
Monitoring Limits:
- Up to 100,000 X posts per session
- Up to 10,000 Instagram posts per session
If higher volume monitoring is required, the Administrator may request a custom plan through Meedyo support.
3. Meedyo Services Contracting Procedure
The contracting process for Meedyo’s services is currently available in English, Spanish, French, and German.
Meedyo does not retain a personalized copy of these Terms & Conditions associated with your purchase; therefore, you are encouraged to save or print a copy for your own records.
Meedyo’s system does not automatically detect errors in the data you submit, except where required fields have not been completed. You are responsible for reviewing your information before submitting it.
Registration as an Administrator is a mandatory prerequisite for using Meedyo’s services.
Administrator Registration
To register as an Administrator, you must click the “Sign Up” button and submit your details using one of the following methods:
- a) Email Registration:
- You will be asked to provide your email address and create a password.
- Your password will be stored securely in encrypted format.
- A verification email will be sent to the address provided, which must be confirmed before accessing Meedyo.
- b) Social Login Registration:
- You may register using a supported social login (e.g., Facebook, Google, LinkedIn).
- The selected network will provide Meedyo with your email, name, profile picture, and a unique identifier associated with your Administrator profile.
- You must log in to the chosen network and grant the requested permissions, which may include access to manage ads, view statistics, create and manage content, moderate comments, and access direct messages.
- Permissions vary by platform and are strictly necessary to enable Meedyo to provide the contracted services.
Before completing registration, you will be provided with Meedyo’s Privacy Policy and Terms & Conditions. You must read and accept these by checking the confirmation box.
After successful registration, you will have access to Meedyo’s Free Plan services. To access paid plans, you must provide valid billing details and select a payment method.
3.1.1 Accuracy of Data
As a registered Administrator, you are solely responsible for ensuring that all data provided is accurate, complete, and up to date. Meedyo is not responsible for errors or incomplete data at registration.
If you identify an error, you must promptly correct it through your account settings or by contacting Meedyo support.
3.1.2 User Access Credentials
Your login credentials (email and password) are confidential, and you must protect them from unauthorized access.
You are required to notify Meedyo immediately if:
- Your credentials are lost or stolen.
- You suspect unauthorized access to your account.
You are responsible for any activity carried out under your account until Meedyo is notified of a breach and takes action to secure it.
If you forget your password, you may reset it by entering your registered email address. If you no longer have access to your registered email, you must contact Meedyo support and provide appropriate verification (e.g., government-issued ID, company registration documents) to re-establish access.
3.1.3 Single-Account Policy
Each natural or legal person is permitted to maintain only one Administrator account. Meedyo reserves the right to suspend or cancel duplicate accounts.
3.2 Access to Paid Services
3.2.1 Starter & Advanced Plans
To upgrade to a paid plan, follow these steps:
- Log in to your Administrator account and click “Upgrade to Premium.”
- Select the plan (Starter or Advanced) that meets your needs.
- Choose your billing cycle (monthly or annual).
- Select the number of Brands and any Add-Ons you wish to include (e.g., X Add-on).
- Enter billing details (name, company, tax number, address, country).
- Choose a payment method (credit/debit card or PayPal). Payment must be authorized by the issuing bank; otherwise, the subscription will not be activated.
- Apply any promotional discount code (if available; codes are not cumulative).
- Read and accept these Terms & Conditions by checking the designated box.
- Click “Upgrade Plan” to finalize the purchase.
Upon successful payment, access to the paid plan features will be granted.
3.2.2 Custom Plan
For a Custom Plan, you must contact Meedyo directly to define the number of Brands, integrations, and service level needed. A tailored agreement will be provided.
3.2.3 X Add-On
If you are subscribed to a paid plan, you may purchase one X Add-on per X account you wish to connect.
- To purchase, go to Administrator Menu → Plan & Billing → Change, and select the number of X Add-ons.
- Payment will be processed using the same method used for your plan, unless you update it.
- After payment is confirmed, you can connect X accounts to Meedyo.
3.2.4 Hashtag Tracker
The Hashtag Tracker service can be purchased if:
- You are subscribed to any Meedyo plan (Instagram Hashtag Tracker).
- You have a paid plan with an active X Add-on (X Hashtag Tracker).
Steps:
- Click “Hashtag Tracker” in your Administrator account.
- Select the number of monitoring days you wish to purchase.
- Provide billing details, choose payment method, and confirm acceptance of the Terms & Conditions.
- Once payment is verified, configure the hashtag, select network (X or Instagram), start date, and duration.
The system will not allow configuration beyond the purchased monitoring balance.
3.3 Pricing
3.3.1 Plans & Add-Ons
The prices for Meedyo Plans (monthly or annual) and X Add-ons are those listed at https://meedyo.com/pricing/ at the time of purchase. Applicable taxes (e.g., VAT or sales tax) will be added based on your jurisdiction.
Prices may be adjusted in the future. Any price change will take effect at the time of renewal, and you will be notified at least 15 days prior to automatic renewal.
3.3.2 Hashtag Tracker
The price of the Hashtag Tracker service will be the rate in effect at the time of purchase.
3.4 Changing Your Subscription
- Upgrade: If you upgrade during a billing cycle, you will be charged only for the proportional difference between the higher plan and the unused portion of the previous plan.
- Downgrade: If you downgrade, you will retain access to the higher plan until the end of the current billing cycle. No refunds will be issued for unused time.
Annual subscriptions are priced at a discount to reflect a one-year commitment.
3.5 Administrator Account
Through your Administrator account, you may manage:
- Personal Details: Update email, password, and contact information.
- Settings: Change language, time zone, and notification preferences.
- Subscription: Upgrade, downgrade, or update payment method.
- Invoices: View or update tax/billing information.
- Account Deletion: Permanently delete your account (including all Brands and associated data). Meedyo reserves the right to retain limited data as required by law (see Privacy Policy).
- Affiliate Program: Access Meedyo’s Affiliate Program if applicable.
3.6 Duration & Termination
- Free plan accounts remain active indefinitely, subject to these Terms.
- Paid plans renew automatically for the same billing cycle unless canceled.
- You may cancel at any time; services remain active until the end of the current billing period.
- You may delete your Administrator account at any time, which will permanently erase all data.
- Meedyo may suspend or terminate services without notice if you breach these Terms, reserving the right to seek damages.
It is your responsibility to revoke permissions granted to Meedyo from each connected social network if you terminate the service.
3.7 Billing
Meedyo issues invoices detailing applicable taxes according to the laws of your jurisdiction. You must provide accurate billing details for proper invoicing.
4. Denial of Access to the Service
Meedyo may suspend or deny your access to the platform in any of the following cases:
- a) The information you provide is false, incomplete, or inaccurate.
b) Your activity (or that of third parties to whom you grant access) violates these Terms & Conditions or threatens the proper operation of the service for other users.
c) You have amounts past due to Meedyo.
Meedyo will notify you of any denial or suspension by email sent to your registered address and/or via in-app notifications within your Administrator account.
- Promotions
Meedyo may launch promotional campaigns at any time, offering advantages or discounts for users. Unless expressly stated otherwise, promotions remain valid while displayed on the Website or for the period specified in the applicable promotion. Promotions are not cumulative unless Meedyo explicitly permits stacking.
- Other Terms of Service
6.1 Software License
By subscribing to Meedyo, Meedyo grants you a non-exclusive, non-transferable, limited license to use the Meedyo software in your country of establishment for the duration and scope of the subscribed plan. This license does not constitute a sale of the software or any intellectual property rights held by Meedyo.
You may not resell, assign, sublicense, rent, or otherwise provide the software or the contracted services to third parties, except as expressly permitted under your plan. Reverse engineering, modification, or any manipulation of the software is strictly prohibited, unless allowed by applicable law notwithstanding this restriction.
6.2 Improper Use of Meedyo
Using Meedyo for purposes other than those intended by its functionalities is strictly prohibited. You are responsible for any misuse by you and by any third parties to whom you grant access to your account.
6.3 User Participation
Where Meedyo enables comments or content creation, it is strictly prohibited to publish or distribute content that is illegal; promotes racism or xenophobia; apologizes for or incites terrorism; violates human rights; incites hatred; undermines personal dignity; or is defamatory, libelous, obscene, or contrary to public order or safety.
Meedyo reserves the right to remove any content that violates these rules or is otherwise unsuitable for publication. Meedyo is not responsible for user opinions or content posted in forums, chats, blogs, or other interactive tools, except as required by applicable law.
6.4 Prohibition on Screen/Web Scraping
Screen scraping, web scraping, data mining, or any automated technique designed to extract data or content hosted on or accessible through Meedyo without Meedyo’s prior written consent is expressly prohibited.
- Meedyo Affiliate Program – Conditions
7.1 Definitions
- Affiliate Program: The set of services Meedyo offers to Affiliates, allowing them to earn commissions under these conditions.
- Affiliate: An Administrator of a Meedyo plan who participates in the Affiliate Program.
- Referred Customer: A new Meedyo customer who is not already an Administrator and who purchases a paid plan using the Affiliate’s Affiliate Link.
- Support(s): The Affiliate’s website(s) on which the Affiliate Link may be placed.
- Affiliate Link: A unique link provided by Meedyo to identify the Affiliate and attribute referrals; it redirects to Meedyo’s website.
- Session: The period beginning when a user accesses Meedyo via an Affiliate Link and ending when the user returns through a different referral source or when the Affiliate Link’s 30-day attribution window expires.
- Click: A user’s action of selecting (clicking) the Affiliate Link.
7.2 Participation
An Administrator may enroll as an Affiliate through the Administrator account. Participation is free and does not require additional investment. If the Affiliate’s technical environment requires upgrades or changes, any resulting costs are the Affiliate’s responsibility.
Eligibility criteria include: being a legally capable natural person of majority age or a duly formed legal entity; holding or being authorized to use the Support(s); and meeting legal requirements to conduct an affiliate income activity and issue invoices for commissions.
The Affiliate can access the Affiliate Link from the Administrator account. The relationship between the Affiliate and Meedyo is strictly commercial and may be characterized as an advertising placement service on the Affiliate’s Support(s), governed by these conditions.
7.3 Denial of Participation
Meedyo may deny participation if the Affiliate or their Support(s) fails to meet requirements; engages in conduct that could harm Meedyo’s brand; breaches these conditions; or for any other cause stated herein. Loss of Administrator access automatically disqualifies participation in the Affiliate Program.
7.4 Service Management
The Affiliate may use only the Affiliate Link provided by Meedyo and only on the declared Support(s). Placement in emails, social profiles, or other locations is not permitted unless Meedyo expressly authorizes it. Affiliate activity can be monitored in the “Affiliate Program” section of the Administrator account.
7.5 Commissions, Accrual, and Payment
7.5.1 Commission
Meedyo will compensate the Affiliate with 50% of the first payment made by each Referred Customer, capped at USD 50 per Referred Customer. Applicable taxes and withholdings will be applied as required by law and jurisdiction.
If the Affiliate operates outside Meedyo’s home jurisdiction and (i) there is no relevant double-tax treaty or (ii) the Affiliate fails to provide valid tax-residency documentation, Meedyo may be legally required to withhold up to 24% (or the rate then in effect) pursuant to applicable tax regulations.
7.5.2 Accrual Conditions
The commission accrues only if all of the following occur:
- a) The Referred Customer creates a Meedyo account through the Affiliate Link and subsequently purchases a paid plan.
b) Meedyo successfully verifies the Referred Customer’s payment.
c) The Referred Customer maintains the paid plan for 30 consecutive days from purchase.
d) The Affiliate issues and sends Meedyo a valid invoice for affiliate advertising services.
e) The Affiliate provides a valid tax-residency certificate and any other required tax/legal documentation.
No commission is due for customers who previously held or purchased a Meedyo plan.
Attribution mechanics: When a user clicks an Affiliate Link, a persistent cookie with a 30-day expiration is placed on the user’s device. If the user signs up within that period (and the cookie remains), attribution goes to that Affiliate. If the user later clicks a different Affiliate’s link, the new cookie overwrites the prior one; attribution will then follow the most recent click. If the user deletes cookies, Meedyo cannot attribute the sale to any Affiliate. Meedyo provides this system to facilitate Affiliate tracking but assumes no responsibility for the above scenarios.
7.5.3 Payment Method
Once all accrual requirements are met and the Affiliate’s unpaid commission balance reaches at least USD 100.00, the Affiliate may request payment. Commissions are paid in the month following the date on which the 30-day retention period has elapsed without cancellation by the Referred Customer.
7.6 Term
Participation in the Affiliate Program is indefinite until terminated under these conditions.
7.7 Loss of Affiliate Status
Meedyo may revoke Affiliate status:
- a) For any breach of these Affiliate conditions.
b) For using Meedyo’s marks, logos, or other brand assets without express written authorization. Affiliates may only use assets provided in Meedyo’s official Resource Center and solely to participate in this Program, without implying sponsorship or ownership by Meedyo.
c) For sending unauthorized advertising (SPAM); the Affiliate bears sole responsibility for such actions.
d) For placing Affiliate Links outside the declared Support(s).
e) For conducting transactions by illegal or fraudulent
f) For self-referrals, auto-commissions, or creating customer accounts with the Affiliate’s own data or the data of close family members (up to second degree).
g) For bidding on Meedyo’s trademarks, variations, or confusingly similar terms as advertising keywords.
h) For publishing promotions, discounts, or credits related to Meedyo without prior written consent. The Affiliate may publish only the promotions provided through the Program.
7.8 Affiliate Obligations
The Affiliate must comply with these conditions and keep their Support(s) and content current. The Affiliate is solely responsible for legal compliance of their Support(s) and business (e.g., legal notices, privacy/cookie policies, tax and social-security obligations).
The Affiliate must not alter the Affiliate Links provided by Meedyo and is responsible for correct installation and operation of such links on their Support(s).
7.9 Modifications to the Program
Meedyo will provide reasonable advance notice of any material changes to the Affiliate Program. If the Affiliate disagrees with the changes, they may cease participation and request settlement of any accrued but unpaid commissions, with no further claims.
7.10 Consequences of Termination
Upon termination, the Affiliate is fully disassociated from the Program and must cease all use of Meedyo’s brand assets (logos, banners, designs, trademarks, etc.) and any references suggesting affiliation or endorsement.
7.11 Additional Considerations
Meedyo does not guarantee the continued operation of the Affiliate Program and may discontinue it at any time, settling any pending payments. The Affiliate is responsible for all content and links on their Support(s). The Affiliate is liable for damages caused to Meedyo by breach of these conditions, and Meedyo may withhold due commissions to offset such damages where permitted by law.
8. Availability of Services
8.1 Meedyo will use commercially reasonable efforts to provide access to the platform 24/7, excluding planned or emergency maintenance and other operational work required to ensure proper service performance.
8.2 The service may experience malfunctions, anomalies, errors, or interruptions inherent to software and internet-based applications. Accordingly, Meedyo does not guarantee uninterrupted service and shall not be liable for damages arising from temporary unavailability.
8.3 Meedyo integrates with third-party social networks via APIs (e.g., Facebook, Instagram, Threads, X, Pinterest, TikTok, YouTube, Twitch, LinkedIn, Google, Bluesky). Those third parties can alter or remove functionalities exposed through their APIs at any time. Meedyo has no control over such changes and bears no responsibility for the elimination or modification of integrated features by those providers.

- Modification of Contract Terms
Meedyo may modify or replace these Terms & Conditions to reflect changes in applicable laws, regulations, or technical/technological circumstances not foreseen at the time of drafting. Updated terms will be posted and will govern going forward in accordance with applicable notice requirements.

- Receive payment for services rendered, where applicable.
- Implement changes or technological improvements to the services.
- Interrupt the service to perform improvements, restructuring, or maintenance. Where feasible, Meedyo will provide reasonable advance notice and work to minimize impact.

12.1 Rights
You are entitled to use the contracted services under the agreed terms and conditions.
12.2 Obligations
By subscribing to Meedyo, you agree to:
- Pay all fees due under your plan.
- Refrain from disturbing, impeding, interfering with, or damaging Meedyo’s or third parties’ systems or equipment.
- Comply with Meedyo’s security requirements, use the services only for their intended purposes, and not engage in unlawful, prohibited, or harmful activities, including those contrary to law, morality, public order, or third-party rights and interests. Meedyo disclaims responsibility for consequences arising from such misuse.

13.1 Links from Other Websites
If you wish to link to Meedyo’s website, the following conditions apply:
- No total or partial reproduction of site content, deep-linking, image linking, or framing without Meedyo’s prior written consent.
- No false, inaccurate, or misleading statements about the Website or its services. Except for link indicators, the linking site may not display Meedyo’s trademarks, trade names, logos, slogans, or other brand elements unless expressly authorized.
- The link does not create a relationship between Meedyo and the linking site’s owner, nor imply Meedyo’s knowledge or acceptance of that site’s content or services.
- Meedyo is not responsible for content or services made available on the linking site, nor for any statements made therein.

- Liability Regime
14.1 Platform Interruptions
Meedyo cannot and does not guarantee that access will be error-free or uninterrupted. Upon becoming aware of incidents, Meedyo will act diligently to restore service, except where causes beyond Meedyo’s control make restoration impossible or unreasonably difficult.
14.2 Disclaimer
Meedyo assumes no liability for:
- Connectivity or power issues beyond its control, including unforeseeable events or force majeure, or issues that were foreseeable but for which Meedyo took reasonable preventive measures.
- Damage to hardware, software, files, or data caused by viruses on your device, misconfiguration, or using an outdated browser.
- Your legal obligations related to your social media account management activities.
- The accuracy, truthfulness, or validity of data you provide, or consequences of your contracts with clients whose accounts you manage via Meedyo.
- Actions or omissions attributable to you or third parties under your control.
- The service not meeting your expectations or business needs, capital gains or losses; you are responsible for assessing suitability before purchase.
- Your breach of obligations hereunder.
- Errors you make in scheduling/programming/automation.
- Removal or modification of features by social networks integrated with Meedyo.
- The relationship between the Administrator and the Brands they manage.
- Intellectual and Industrial Property
15.1 Meedyo Content
All elements and content published on Meedyo are created by Meedyo or used under license. Accordingly, all such elements (e.g., images, audio, video, software, text; trademarks or logos; color schemes; structure and design; applications enabling operation, access, and use) and the exploitation rights therein are the exclusive property of Meedyo.
Any reproduction, distribution, public communication (including making available), or transformation of all or part of Meedyo’s content, by any means and in any medium, without Meedyo’s prior written authorization is prohibited.
You agree to respect these rights and to not remove, alter, bypass, or tamper with any protection or security measures on Meedyo’s pages.
15.2 User-Generated Content
By accepting these Terms, you grant Meedyo a license as broad as legally required to publish contributions you make via Meedyo’s participation features or Meedyo’s official social media profiles.
You must not share or otherwise use protected content (e.g., third-party intellectual or industrial property) without proper authorization. Meedyo reserves the right to take legal action in the event of a breach.
You may report rights violations by any user or third party by emailing support@meedyo.com with relevant details.
16. Processing of Personal Data
16.1. Processing as Data Controller
Personal data that Meedyo processes in its capacity as Data Controller is handled in accordance with our Privacy Policy published on the Website (incorporated here by reference to avoid repetition).
Meedyo has appointed a Data Protection Officer (DPO) who can be contacted at: dpo@meedyo.com.
In addition, Meedyo may analyze your Administrator usage (e.g., feature interactions, workflow patterns) to improve or enhance the service, notify you of tool capabilities that may improve performance, and/or identify platform needs. You may object at any time by emailing customer support or the DPO at the addresses provided above.
16.2. Processing as Data Processor
16.2.1. Purpose of the Processing Instructions
By subscribing to Meedyo’s services, you authorize Meedyo to process, on your behalf and per your instructions, the personal data necessary to provide the contracted services—namely, the management of Brand social media accounts and advertising activities you designate.
This includes access to personal data associated with Brand contacts on social networks connected to Meedyo, as well as personal data of third parties to whom you grant access to your Administrator account.
16.2.2. Identification of Affected Information
The categories of data may include:
- Brand social accounts’ contacts: public profile data; data contained in direct messages (where permissions are granted).
- Third parties with account access: name and email address.
16.2.3. Duration
Meedyo’s access to personal data under your control (or your Brands’ control) persists only for as long as the relevant Brand’s Meedyo subscription remains active. Upon termination for any reason, Meedyo will delete personal data collected through the platform (subject to any legally required retention).
16.2.4. Meedyo’s Obligations as Data Processor
Meedyo and all personnel acting under its authority shall:
- a) Purpose Limitation – Use personal data solely to deliver the contracted services and never for Meedyo’s own purposes.
- b) Follow Instructions – Process data strictly in line with the Administrator’s documented instructions and the functionalities provided by Meedyo. If Meedyo believes an instruction conflicts with the GDPR or other applicable data-protection laws, Meedyo will promptly notify the Administrator.
- c) Maintain Processing Records – Keep written records of processing activities carried out on the Administrator’s behalf, including:
- Meedyo’s name and contact details and those of each controller we serve.
- The categories of processing performed for each controller.
- Any international data transfers, identifying the recipient country/organization and, where applicable (e.g., GDPR Art. 49(1), second paragraph), documentation of appropriate safeguards.
- A general description of technical and organizational security measures, including:
- Pseudonymization and encryption (where applicable).
- Measures ensuring ongoing confidentiality, integrity, availability, and resilience of systems and services
- Capabilities to restore availability and access to personal data promptly after a physical or technical incident.
- Regular testing, assessment, and evaluation of the effectiveness of security controls.
- d) No Unauthorized Disclosures – Not disclose personal data to third parties without the Administrator’s prior written authorization, except where legally required. Meedyo may share data with other processors acting for the same controller in accordance with the Administrator’s written instructions specifying the recipient, the data to be shared, and the security measures to apply. If disclosure is mandated by Union or Member State law, Meedyo will inform the Administrator in advance unless prohibited for important public-interest reasons.
- e) Subprocessors – The Administrator grants Meedyo a general authorization to engage subprocessors. Meedyo will impose equivalent contractual obligations and appropriate technical and organizational measures on each subprocessor. Meedyo remains fully liable to the Administrator for any subprocessor non-compliance.
- f) Confidentiality – Maintain confidentiality of personal data accessed in the course of service provision, even after the services end.
- g) Authorized Personnel – Ensure all individuals authorized to process personal data have signed confidentiality undertakings, been duly informed, and comply with applicable security measures.
- h) Evidence of Compliance – Keep documentation available to demonstrate compliance with the foregoing obligations.
- i) Training – Ensure appropriate data-protection training for authorized personnel.
- j) Assistance with Data Subject Rights – Assist the Administrator, where feasible, in responding to requests to exercise rights of access, rectification, erasure, objection, restriction, portability, and rights related to automated decision-making/profiling.
- k) Personal Data Breach Notification – Notify the Administrator without undue delay—and in any case within 72 hours of becoming aware—of any personal data breach under Meedyo’s responsibility, including all information necessary for documentation and notification of the incident.
Where available, Meedyo will provide at least:
- Description of the breach (including, where possible, categories and approximate number of affected individuals and records).
- Contact details of the DPO or other point of contact for further information.
- Likely consequences of the breach.
- Measures taken or proposed to address the breach and mitigate adverse effects.
If complete details cannot be provided simultaneously, Meedyo will provide information in phases as it becomes available, without undue delay.
Administrator responsibility: The Administrator is responsible for notifying the supervisory authority and affected individuals where the breach is likely to result in a high risk to natural persons’ rights and freedoms.
- l) Regulatory Consultation Support – Support the Administrator in conducting prior consultations with supervisory authorities when required.
- m) Audit Cooperation – Make available all information necessary to demonstrate compliance and enable audits or inspections carried out by the Administrator or an authorized auditor.
- n) Security Measures – In all cases, implement mechanisms to:
- Ensure confidentiality, integrity, availability, and ongoing resilience of processing systems and services.
- Restore availability and access to personal data promptly following incidents.
- Verify, assess, and evaluate security measures regularly.
- Pseudonymize and encrypt personal data where appropriate.
- o) Post-Service Data Handling – Upon completion of services, cease access to personal data and either return such data (and any media containing it) to the Administrator or securely delete it from Meedyo’s systems. Meedyo may retain a blocked copy only for as long as liabilities may arise from service performance or as required by law.
16.2.5. Administrator Obligations
The Administrator shall:
a) Provide Meedyo with the data necessary to deliver the contracted services.
b) Ensure the right to information is provided at the point of data collection for Brands.
c) Where required, conduct a Data Protection Impact Assessment (DPIA) and perform prior consultations with the supervisory authority regarding processing performed by Meedyo.
d) Verify, before and during processing, Meedyo’s compliance with the GDPR (where applicable) and other data-protection laws.
e) Supervise processing activities, including conducting inspections and audits.
16.2.6. Copy of the Data Processing Agreement (DPA)
If the Administrator wishes to obtain a signed DPA, they may request it by emailing: legal@meedyo.com.
17. Outsourcing
Meedyo reserves the right to contract and/or subcontract third parties as it deems appropriate for the execution of any or all tasks necessary for the maintenance, development, upgrading, or delivery of its services. This may include, but is not limited to, hosting providers, technology vendors, customer support partners, and other specialized service providers required for smooth and efficient service operation.
18. Modification of Services
Meedyo retains the right to make changes to its services when necessary to ensure continuous improvement and compliance, including:
- a) Adapting to technical advancements or industry standards.
b) Implementing functional or operational enhancements that improve the quality and performance of the services offered.
c) Complying with new or updated legal, regulatory, or industry requirements relevant to the provision of the services.
Meedyo may also update the presentation, interface, or configuration of its services unilaterally and without prior notice, provided such updates do not diminish core functionality, breach previously agreed service commitments, or result in an increase to contracted pricing.
Additionally, Meedyo reserves the right to adjust or modify the features included in the Free Plan at any time.
- Right of Withdrawal
Administrators have the right to withdraw from their initial Meedyo Plan within 15 calendar days from the date of first subscription. This right does not apply to automatic renewals or subsequent billing cycles.

Once your request has been received and validated, Meedyo will refund any subscription fees paid without undue delay and using the same payment method initially used for the transaction, unless otherwise agreed.
- Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the United States (or the state in which Meedyo is legally incorporated, if specified), without prejudice to any mandatory consumer protection laws that may apply in the user’s country or state of residence.
Any dispute, claim, or controversy arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts located in Meedyo’s principal place of business, except where consumer protection laws grant mandatory jurisdiction to the courts of the user’s place of residence.
